Terms of
service.

The agreement between you and us when you use the Service. Written in plain English where we can manage it.

Draft pending counsel review. This is a working draft written by the team. Treat it as a description of intent rather than a legally vetted agreement until our counsel completes their review.

1. Acceptance

By creating an account or using Ripceipt (the "Service"), you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.

2. Your account

You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your API keys and account credentials, and for everything that happens under your account. Notify us promptly at support@ripceipt.com if you suspect unauthorized access.

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

3. Subscription and billing

The Service is offered on a paid subscription. Pricing details are on the pricing page. Each tier includes an allowance of receipts per month and a per-receipt rate above that allowance.

Plans renew monthly. Upgrades take effect immediately, prorated for the remainder of the cycle. Downgrades take effect at the end of the current period. The Service enforces hard caps on receipt allowance: when you exceed your allowance, the API returns a 402 Payment Required response until you upgrade.

Billing is processed by Stripe. Refunds are at our discretion and generally limited to billing errors.

4. Acceptable use

You agree not to:

  • Upload content you do not have the right to process, including third parties' receipts you have not been authorized to extract.
  • Use the Service to harass, defraud, or impersonate any person or entity.
  • Reverse engineer the Service, scrape the dashboard, or attempt to bypass rate limits or hard caps.
  • Use the Service to build a competing receipt extraction product.
  • Probe, scan, or test vulnerability of the Service except via our published responsible disclosure path on the security page.

5. Your content

You retain ownership of the receipts you upload and the structured data we return to you. You grant us a limited license to process that content solely to provide the Service to you.

We do not train AI models on your individual receipts. We may use aggregated, de-identified usage data to improve the Service.

Retention of your content is governed by the retention mode you choose; see our privacy policy.

6. Our intellectual property

The Service, including the API, dashboard, SDKs, documentation, and underlying software, is owned by Day Moon Development and protected by intellectual property laws. We grant you a non-exclusive, non-transferable license to use the Service per these Terms.

7. Termination

You can cancel your subscription at any time from the customer portal. Cancellation takes effect at the end of the current billing period; you keep access until then.

We may suspend or terminate your account for material breach of these Terms, including violations of acceptable use, abuse of the Service, or non-payment. We will give reasonable notice except when immediate action is required to protect the Service or other users.

On termination, the rights granted to you end and we will delete your data per the retention rules in our privacy policy.

8. Disclaimer

The Service is provided "as is" without warranties of any kind. We do not warrant that extractions will be 100% accurate, that the Service will be uninterrupted, or that it will meet your specific requirements. Ripceipt uses AI; review the confidence scores on each field before relying on extracted data for critical decisions.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

10. Indemnification

You agree to defend and indemnify us against claims arising from your use of the Service in violation of these Terms or applicable law, including claims that your content infringes third-party rights.

11. Changes

We may update these Terms from time to time. The date at the top of this page reflects the most recent revision. For material changes, we will notify account holders by email and give reasonable notice before the change takes effect.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Disputes will be resolved in the state or federal courts located in Delaware.
